Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern the use of the Wolflow software, the wolflow.it and wolflow.pro websites and all related services (collectively, the "Service").

By downloading, installing or using the Service, the user declares that they have read, understood and fully accepted these Terms. If you do not accept the Terms, you must not use the Service.

2. Description of the Service

Wolflow is a desktop application that allows producers, beatmakers, video editors and creative professionals to:

• Automatically scan and analyze their audio and video projects
• Organize, catalog and monitor creative projects through a customizable dashboard
• Convert projects between different DAWs (Digital Audio Workstations)
• Back up their projects
• Monitor work time and creative habits through gamification features

All scanning, analysis and file management operations are performed exclusively locally on the user's device. Wolflow does not upload, transmit or store project files on its servers.

3. Account and Registration

To access certain features of the Service, it may be necessary to create an account. The user agrees to:

• Provide truthful, accurate and up-to-date information
• Maintain the confidentiality of their login credentials
• Promptly notify any unauthorized use of their account
• Not create more than one account per person

The user is responsible for all activities performed through their account.

4. Plans and Subscriptions

4.1 Free Plan

The Free plan provides access to Wolflow's core features at no cost: Dashboard, Widgets, Project Analysis, Bridge, DAW Detection, Audio Mode and Video Mode. Project Converter and Backup Manager features are limited to 1 use per day.

4.2 PRO Plan

The PRO plan offers unlimited access to all features, including unlimited Project Converter and Backup Manager, plus priority support and early access to future features.

4.3 Payments

• Payment for the PRO plan is processed through secure third-party payment providers
• The subscription automatically renews at the end of the chosen period, unless cancelled
• Prices may be subject to changes, with at least 30 days' notice
• In case of price changes, the user may cancel the subscription before the next renewal

4.4 Refunds

The user has the right of withdrawal within 14 days from the date of subscribing to the PRO plan, in accordance with applicable regulations on distance contracts (Legislative Decree 206/2005 — Consumer Code). To request a refund, contact support@wolflow.it.

5. License of Use

By accepting these Terms, Wolflow grants the user a non-exclusive, non-transferable, revocable and limited license to use the Service on their personal device, in accordance with these Terms.

The user is not authorized to:

• Copy, modify, distribute or create derivative works from the software
• Decompile, disassemble or reverse engineer the software
• Remove or alter copyright notices, trademarks or other proprietary rights
• Sublicense, sell or rent the software to third parties
• Use the software for illegal or unauthorized activities

5.1 Open source components

The restrictions in this section apply only to the proprietary parts of Wolflow. Wolflow also includes third-party open source components, which are governed exclusively by their own licenses and not by these Terms.

In particular, the project conversion engine is DawVert, distributed under the GNU General Public License v3 or later. Wolflow includes a modified version of it. Under that license you are free to use, study, modify and redistribute those components, and nothing in these Terms limits those rights. Where these Terms conflict with an open source license, that license prevails for the component it covers.

The complete source code of the open source components Wolflow distributes, together with their license texts, is included in the installation and can also be requested at support@wolflow.it. The full list is in section 16, Open Source Components, below.

6. Acceptable Use

The user agrees not to use the Service to:

• Violate laws, regulations or third-party rights
• Distribute malware, viruses or malicious code
• Attempt unauthorized access to Wolflow's systems or data
• Interfere with the operation of the Service or connected servers
• Use automated systems (bots, scrapers, etc.) to access the Service in unauthorized ways

7. Intellectual Property

The Wolflow software, website, logo, name, graphics, user interface and all related content are protected by copyright law and intellectual property regulations in force in Italy and internationally.

All intellectual property rights related to the Service remain the exclusive property of Wolflow. Nothing in these Terms grants the user any ownership rights over the Service.

The user's creative projects (audio files, video, DAW sessions and related content) remain the exclusive property of the user. Wolflow does not claim any rights over user content.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose or non-infringement.

Wolflow does not guarantee that the Service will be free from errors, interruptions or security vulnerabilities. The user uses the Service at their own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Wolflow and its developers, collaborators and partners shall not be liable for:

• Direct, indirect, incidental, special or consequential damages arising from the use or inability to use the Service
• Loss of data, profits, goodwill or other intangible losses
• Damages resulting from unauthorized access to user data
• Damages resulting from malfunctions of third-party software (DAWs, plugins, etc.) in connection with Wolflow

In any case, Wolflow's total liability shall not exceed the total amount paid by the user in the 12 months preceding the event giving rise to the liability.

10. Indemnification

The user agrees to indemnify and hold harmless Wolflow, its developers and collaborators from any claim, damage, liability, cost or expense (including legal fees) arising from:

• The user's violation of these Terms
• Improper use of the Service
• The user's violation of third-party rights

11. Suspension and Termination

Wolflow reserves the right to suspend or revoke access to the Service, with or without notice, if the user:

• Violates these Terms
• Uses the Service in an abusive or fraudulent manner
• Fails to pay the PRO subscription within the stipulated terms

The user may stop using the Service and delete their account at any time. Upon deletion, the user will lose access to PRO features at the end of the already paid subscription period. Local data on the user's device will not be affected.

12. Changes to Terms

Wolflow reserves the right to modify these Terms at any time. In case of substantial changes, the user will be informed through the application or via email with reasonable notice. Continued use of the Service after notification of changes constitutes acceptance of the new Terms.

13. Applicable Law and Jurisdiction

These Terms are governed by Italian law. For any dispute arising from the interpretation or application of these Terms, the exclusive jurisdiction shall be the court of the consumer's place of residence or domicile, if the user qualifies as a consumer under the Consumer Code (Legislative Decree 206/2005).

14. General Provisions

• Severability: if any clause of these Terms is declared invalid or unenforceable, the remaining clauses shall remain fully valid and effective
• Waiver: failure to enforce a provision of these Terms shall not constitute a waiver of the right to enforce it in the future
• Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between the user and Wolflow
